License

End User License Agreement (EULA) for Sleep Power Module - 12 Months

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and [Citizen21 Limited] ("Provider") for the use of the Sleep Power Module ("Module"). By installing, accessing, or using the Module, User agrees to be bound by the terms of this Agreement.

License Grant: Provider grants User a non-exclusive, non-transferable license to use the Module for a period of 12 months from the date of installation ("License Period").
Restrictions: User shall not: a. Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Module; b. Use the Module for any unlawful purpose or in any manner inconsistent with this Agreement; c. Distribute, sublicense, lease, rent, or lend the Module to any third party.
Ownership: Provider retains all right, title, and interest in and to the Module, including all intellectual property rights therein. This Agreement does not convey to User any ownership interest in the Module.
Support and Maintenance: In the event the Module is not accessible during the License Period, via the internet, the Provider will send the Module by email to the User.
Termination: This Agreement shall automatically terminate at the end of the License Period. Provider may terminate this Agreement immediately upon User's breach of any provision herein.
Warranty Disclaimer: THE MODULE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. PROVIDER DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability: PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
Entire Agreement: This Agreement constitutes the entire agreement between User and Provider concerning the subject matter herein and supersedes all prior or contemporaneous agreements or understandings, written or oral, regarding such subject matter.

By installing, accessing, or using the Module, User acknowledges that they have read and understood this Agreement and agree to be bound by its terms.
